Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") are a binding agreement between you ("Customer", "you") and PQG LLC, doing business as EasyBoostMedia ("Company", "we", "us"). They govern your access to and use of our Odoo Cloud subscription service and related websites, software, and support (together, the "Service"). By creating an account, clicking "I agree", or subscribing, you accept these Terms. If you do not agree, do not use the Service. If you accept on behalf of an organization, you represent that you are authorized to bind it.

2. The Service

EasyBoostMedia provides a hosted, multi-tenant business platform built on Odoo Enterprise, automatically provisioned for you. When you subscribe, we create a private instance for you, typically reachable at your-subdomain.easyboost.run, and operate the underlying hosting, updates, and backups. Optional add-ons (such as AI assistants and automations) may be enabled on your instance. The Service is delivered as software-as-a-service; we do not install software on your own servers.

Odoo is software provided by a third party. Your use of the Odoo application is also subject to the applicable Odoo end-user and subscription terms. We are not affiliated with, or endorsed by, Odoo S.A.

3. Accounts and Registration

  • You must create an account to subscribe. You may sign in using a supported identity provider (such as Google).
  • You agree to provide accurate information and to keep it current.
  • You are responsible for all activity under your account and for keeping your credentials confidential. Notify us promptly of any unauthorized use.
  • You must be at least 18 years old and able to form a binding contract.

4. Subscriptions, Billing, and Renewals

  • Plans and pricing. The entry plan is offered at a promotional price for the first month and renews at the then-current standard monthly rate (for example, $19 for the first month and $49 per month thereafter). Current pricing is shown at checkout.
  • Recurring billing. Subscriptions are billed monthly in advance and renew automatically until cancelled. By subscribing, you authorize us and our payment processor to charge your payment method on each renewal date.
  • Payment processor. Payments are processed by Stripe. We do not store your full card details; they are held by the processor under its own terms and security standards.
  • Taxes. Prices are exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes, except taxes on our net income.
  • Price changes. We may change prices or plan features. We will give reasonable notice before a change applies to your renewal; continuing your subscription after the change takes effect constitutes acceptance.
  • Failed payments. If a charge fails, we may retry and may suspend or terminate the Service if payment is not received.

5. Cancellation and Refunds

  • You may cancel at any time from your account or by contacting us. Cancellation stops future renewals; your subscription remains active until the end of the current paid period.
  • Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods or unused time.
  • After cancellation or termination, your instance is scheduled for deactivation and, after a retention window, deletion (see Section 8). Export your data before your subscription ends.

6. Acceptable Use

You agree not to use the Service to:

  • violate any law or third-party right, or send unlawful, infringing, deceptive, or harmful content;
  • send messages or place calls in violation of applicable anti-spam, telemarketing, recording-consent, or privacy laws — you are responsible for obtaining any required consents;
  • attempt to gain unauthorized access to, disrupt, overload, or reverse engineer the Service or its infrastructure;
  • resell, sublicense, or provide the Service to third parties except as expressly permitted in writing;
  • upload malware or use the Service to process data you are not authorized to process.

We may investigate suspected violations and may remove content or suspend access to protect the Service or comply with law.

7. Your Data and Ownership

  • Your data is yours. You retain all rights to the data you and your users submit to the Service ("Customer Data").
  • Our role. We process Customer Data as a service provider/processor on your behalf, to operate and support the Service. Our handling of personal data is described in our Privacy Policy and our Data Processing Addendum (DPA), which is incorporated into these Terms by reference. By accepting these Terms, you also accept the DPA.
  • License to operate. You grant us the limited rights needed to host, back up, transmit, and display Customer Data for the purpose of providing the Service.
  • Backups and export. We maintain routine backups as part of the Service. You may request an export of your database while your subscription is active.

8. Suspension, Termination, and Data Retention

  • We may suspend or terminate the Service for non-payment, breach of these Terms, or to protect the Service, our users, or comply with law.
  • You may terminate by cancelling your subscription.
  • Following termination, we retain your instance and Customer Data for a limited retention window to allow export, after which they are permanently deleted. Backups age out under our standard rotation.

9. Subprocessors and Third-Party Services

We rely on reputable third parties to deliver the Service, which may include hosting (DigitalOcean), payments (Stripe), and, where you enable related features, AI and messaging providers (such as OpenAI, Google, and Meta). These providers process data only as needed to provide their function. A current list of subprocessors is available on request or in our Privacy Policy.

10. Hosting and Data Location

We host the Service on cloud infrastructure and, for customers in the United States, use a United States region by default. The Company operates and provides support from Nicaragua; by using the Service you consent to the processing described in our Privacy Policy, including any international transfer involved in operating and supporting the Service.

11. Service Availability and Support

We use commercially reasonable efforts to keep the Service available and to perform maintenance with minimal disruption. The entry-level Service is provided without a guaranteed uptime commitment (SLA). We may modify, update, or discontinue features over time. Support is provided through the channels listed on our site.

5. Intellectual Property

The Service, our platform, custom modules, and brand are owned by the Company or its licensors. Subject to these Terms and timely payment, we grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. We may use aggregated, de-identified data to operate and improve the Service. Any feedback you provide may be used without restriction.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You will defend and indemnify the Company against claims, damages, and costs arising from your Customer Data, your use of the Service, or your violation of these Terms or applicable law.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new date or by email). Your continued use of the Service after the changes take effect constitutes acceptance.

17. Governing Law and Disputes

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. The exclusive venue for disputes will be the state or federal courts located in Delaware, and you consent to their jurisdiction. Nothing in this section limits either party's right to seek injunctive relief.
